These Terms & Conditions apply to the supply of goods and services by Esher Fireplaces Ltd (“E.F.”, “we”, “us”, “our”) to the Client (“you”). They consolidate Esher Fireplaces’ existing terms with additional obligations required under our Preferred Retailer arrangements with selected manufacturers and suppliers.

2. Application of Terms

2.1 These Terms & Conditions govern all quotations, orders, supply of goods, and installation services provided by E.F.

2.2 By accepting a quotation, paying a deposit, or allowing works to commence, you confirm acceptance of these Terms & Conditions.

2.3 These Terms take precedence over any other terms unless expressly agreed in writing by E.F.


3. Quotations, Surveys & Orders

3.1 All quotations are subject to survey unless stated otherwise.

3.2 Sketches, photographs, brochures, and illustrations are for guidance only and do not form part of a contract.

3.3 E.F. reserves the right to amend specifications where required for safety, compliance, or practicality. Any price variation will be advised before works continue.

3.4 No variation to the contract is valid unless confirmed in writing by E.F.


4. Pre‑Installation Requirements (Client Responsibilities)

Prior to installation, the Client must ensure:

  • Clear access and sufficient parking close to the property.
  • The installation area is fully cleared of furniture, ornaments, and dust‑sensitive items.
  • Adequate protection or removal of carpets where required.
  • Access to water and electricity.
  • Children and pets are kept away from the work area.

E.F. is not responsible for damage to possessions where reasonable care has been taken.


5. Chimneys, Flues & Existing Structures

5.1 All chimneys must be swept and confirmed clear prior to installation, at the Client’s cost.

5.2 Where existing chimneys, flues, or fireplaces are used, their internal condition may not be fully visible at survey stage. E.F. cannot be held responsible for defects uncovered once works commence.

5.3 Any additional works required due to hidden defects will be quoted separately.


6. Goods & Manufacturers

6.1 All goods supplied remain the property of E.F. or the relevant supplier until paid for in full.

6.2 Natural materials (including limestone and cast iron) may contain variations, markings, fossils, colour differences, or surface imperfections. These are natural characteristics and not defects.

6.3 Painted, bespoke, special‑order, or non‑stock items are non‑returnable.

6.4 Where E.F. acts as a Preferred Retailer for a manufacturer, the Client agrees that manufacturer terms relating to product handling, warranty, and usage also apply.


7. Delivery & Installation Dates

7.1 Installation and delivery dates are estimates only and subject to manufacturer lead times, stock availability, and courier performance.

7.2 E.F. will not be liable for delays outside of its reasonable control.

7.3 If the site is not ready on the agreed date and insufficient notice (minimum 14 days) has been given, abortive visit charges may apply.


8. Price & Payment Terms

8.1 Unless otherwise agreed:

  • Payment for goods (including flue liners) is required in advance.
  • Installation charges are payable upon completion.

8.2 Prices include VAT unless the project qualifies for VAT exemption.

8.3 Deposits are non‑refundable where costs have been incurred.

8.4 Full payment must be made before ownership of goods transfers to the Client.

8.5 E.F. reserves the right to suspend works or withhold goods where payment terms are not met.


9. Title, Risk & Retention of Ownership

9.1 Risk passes to the Client once goods are delivered or installation is completed.

9.2 Title remains with E.F. until all outstanding balances are settled in full.

9.3 E.F. reserves the right to recover unpaid goods where legally permitted.


10. Returns & Cancellations

10.1 Returns require prior written approval.

10.2 Approved returns may be subject to restocking and carriage charges.

10.3 Bespoke, painted, glass floor plates, and special‑order items are non‑returnable.

10.4 Cancellations after order acceptance may result in recovery of costs incurred.


11. Guarantees & Warranties

11.1 E.F. provides a 12‑month workmanship guarantee from the installation date.

11.2 Manufacturer warranties apply separately and are subject to their own terms.

11.3 Guarantees exclude:

  • Fair wear and tear
  • Natural material changes
  • Rust, discolouration, or environmental damage
  • Damage caused by misuse, external force, or third‑party alterations

12. Liability & Limitations

12.1 E.F. is not liable for indirect or consequential losses, including loss of profit or business interruption.

12.2 Nothing in these Terms limits liability for death, personal injury, fraud, or matters that cannot be excluded by law.

12.3 Televisions or electronics installed above fireplaces are done entirely at the Client’s risk.


13. Client Default

If the Client fails to comply with these Terms, E.F. may:

  • Suspend works or deliveries
  • Cancel the contract
  • Recover outstanding sums

14. Confidentiality & Data

All commercial, technical, and pricing information remains confidential and must not be disclosed without consent.


15. Force Majeure

E.F. shall not be liable for delays or failures caused by events beyond reasonable control, including weather, supply disruption, or industrial action.


16. Governing Law

These Terms are governed by the laws of England & Wales. Any disputes fall under the exclusive jurisdiction of the English courts.


Acceptance
Payment of a deposit or instruction to proceed confirms acceptance of these Terms & Conditions.
